360 PARTNERSHIP
Partner Terms & Conditions

360 State Partnership Agreement

Version 19 October 2026  ·  Federal Republic of Nigeria

This Agreement is between Three Sixty Dot Com Dot Ng ("360" or the "Company"), of Block A1-153 HFP Shopping Complex, Lagos, Nigeria, and the individual or duly authorized entity accepting these terms (the "Partner").

Note: Eligible State Partners receive a 50% share of qualifying revenue actually earned by 360 from supported activities attributed to their territory, subject to this Agreement.

1. Appointment and Territory

360 appoints the Partner to promote and support the 360 ecosystem within the Nigerian State or Federal Capital Territory recorded in the Partner's approved 360 account (the "Territory"). One active State Partner is ordinarily assigned to each Territory. The appointment is personal, conditional, non-transferable, and does not convey ownership of the Territory, customers, products, or platform. 360 may conduct its own operations nationwide.

2. Partner Operating Expenses

The Partner shall be responsible for their own marketing, transportation, communication and other operational expenses unless expressly approved by 360 in writing. Participation in the Partnership does not guarantee any specific level of earnings, sales, customers or revenue.

3. Revenue Share

While this Agreement and the Partner's Territory appointment remain active, the Partner is entitled to 50% of eligible platform revenue actually earned by 360 from supported transactions attributable to that Territory and correctly recorded in the 360 Partner earnings ledger.

This 50% is not calculated on a customer's full payment, total merchandise value, an escrow balance, a provider's income, taxes, or funds which 360 does not earn. Only revenue streams expressly integrated into Partner revenue-sharing systems qualify. No revenue entry means no commission entitlement for that transaction unless a verified recording error is subsequently corrected.

Verified refunds, chargebacks, transaction reversals, fraud corrections and mistaken entries may reduce or reverse corresponding Partner earnings. The Company will keep reasonably accessible ledger records and provide a process for reporting discrepancies.

4. Earnings and Withdrawals

Eligible earnings are recorded in the Partner Dashboard. The Partner may request withdrawal of their available balance in accordance with the current platform withdrawal procedures, identity and bank-account verification, and applicable payment restrictions. 360 will process valid requests within a reasonable operational period; automatic daily bank remittance is not promised. Valid accrued earnings remain subject to verified adjustments and lawful deductions.

5. Partner Responsibilities

6. Responsibilities of 360

360 will maintain and develop the supported platform infrastructure; administer the revenue attribution and earnings records; provide reasonable onboarding guidance, brand resources and centralized support; and manage platform payment processing and withdrawal reviews according to its published systems and applicable law. Specific marketing spend, transaction volume and earnings are not guaranteed.

7. Independent Relationship

The Partner acts as an independent business-development representative, not an employee, legal partner, director, franchise owner or joint-venture participant. Neither party may incur obligations in the name of the other without prior written authorization. Each party is responsible for its own applicable taxes and legal obligations.

8. Intellectual Property and Confidentiality

360 retains its brands, designs, software, user records, data and other intellectual property. The Partner receives a limited, revocable permission to use approved 360 marketing materials solely for authorized duties. Non-public operational, commercial and personal information must be protected and used only as permitted by law and 360's documented policies. These obligations survive termination where appropriate.

9. Conduct, Security and Data Protection

Both parties will comply with applicable Nigerian law, including relevant data-protection and consumer-protection requirements. The Partner must promptly report suspected fraud, misuse of the brand, breaches of personal data, or customer-safety incidents. The Partner may not sell user data or conduct financial services without any required authorization.

10. Term, Suspension and Termination

The Agreement begins when the Partner accepts these terms and 360 approves or activates the Territory assignment, and continues until terminated. 360 may suspend access immediately to investigate suspected fraud, unlawful conduct, security threats or serious brand misuse. For other material breaches, 360 will ordinarily provide notice and a reasonable opportunity to remedy before termination. Either party may end the arrangement on 30 days' written notice.

On termination, access to future Territory commissions and brand permissions ends. Legitimately earned and verified amounts accrued before termination do not automatically disappear; they remain payable in accordance with the withdrawal rules, lawful offsets and any required investigations.

11. Changes to Terms

360 may propose changes to future revenue-sharing or operating terms with advance notice. A reduction in the 50% rate will not apply retroactively to earnings already accrued. Material changes will require the Partner's renewed acceptance where required by law or the platform's onboarding process.

12. Responsibility and Disputes

Each party is responsible for its own wrongful acts, misconduct and negligence as determined under applicable law. Neither party excludes liability that cannot legally be excluded. The parties will first attempt good-faith resolution of disputes; unresolved disputes will be handled under the laws of the Federal Republic of Nigeria by courts of competent jurisdiction unless both parties separately agree to arbitration.

13. Electronic Acceptance

By checking the agreement checkbox and submitting the Partnership registration form, the Partner confirms that they have read and accepted this version. An authorized representative accepting for an entity confirms they have the authority to do so. 360 records the accepted version and timestamp in the Partner account.
